Terms of Service

Draft · not in effect

LoadON.ai (the "Platform") is a marketplace that matches idle compute supply with demand. By using the Platform you acknowledge that you have read, understood, and agree to these Terms. If you use the Platform on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

1. The Service

The Platform packages suppliers' idle compute into "compute windows" for buyers to purchase, priced with reference to live electricity rates. The Platform operates the control plane — matching, provisioning, metering, and settlement.

The Platform is not the owner of the compute resources and is not responsible for the inference/compute results, their accuracy, or fitness for any purpose. Compute runs on third-party suppliers' machines.

2. Accounts & Eligibility

You must provide accurate registration information and are responsible for activity under your account. You must meet the legal age and capacity to contract in your jurisdiction.

The Platform may suspend or terminate accounts that violate these Terms.

3. Supplier Terms

A supplier's listed specifications are derived from the Platform's probe measurements and must not be misrepresented. Suppliers must make reasonable efforts to honor the availability of listed windows.

Earnings are settled at the agreed share (currently 70% to the supplier) and paid out in USDT. Suppliers may delist future sellable capacity at any time.

Suppliers are responsible for the legality, tax, and compliance obligations of the compute they provide.

4. Buyer Terms

Upon purchasing a compute window, a buyer obtains the right to use the corresponding compute during the window; the environment is destroyed automatically on expiry.

Buyers must not use the compute for any unlawful purpose, including unauthorized access, malware, infringement, or activities prohibited in their jurisdiction.

Buyers are responsible for the content and results of the workloads they run.

5. Payments & Settlement

Prices are as shown at checkout. Unless stated otherwise, settlement is in USDT. The Platform charges a platform fee / revenue share on transactions.

Buyers must complete payment within the stated time; compute is provisioned after the Platform confirms receipt. Supplier payouts are processed after Platform verification.

Cryptocurrency price volatility, settlement times, and network fees are determined by the respective network; the Platform is not liable for blockchain-network delays.

6. Data & Privacy

The Platform uses end-to-end encryption: a buyer's workload is encrypted on their side and decrypted only inside the supplier's engine container; the Platform handles only ciphertext.

The Platform does not receive, process, read, or store buyers' workload content or results. See the Privacy Policy.

7. Disclaimers

The Platform is provided "as is" and "as available" without warranty of uninterrupted or error-free operation or fitness for a particular purpose. Edge/spot compute has inherent availability variability.

To the maximum extent permitted by law, the Platform is not liable for indirect, incidental, punitive, or consequential damages.

8. Limitation of Liability

To the maximum extent permitted by law, the Platform's aggregate liability for any claim shall not exceed the fees you actually paid to the Platform in the period preceding the claim.

9. Termination

You may stop using the Platform at any time. The Platform may suspend or terminate service upon your breach or where required by law. Provisions that by nature survive termination continue in effect.

10. Governing Law & Disputes

[Placeholder: governing law and venue to be set by the operating entity and counsel.] The Platform involves cross-border compute transactions and cryptocurrency settlement; the applicable jurisdiction and compliance arrangements must be determined with professional legal advice.

11. Changes

The Platform may update these Terms; material changes will be notified by reasonable means. Continued use after changes constitutes acceptance.
